Terms of Service

These Terms govern your access to and use of Autonelio. Please read them carefully. By using the website or applications, you agree to these Terms.

1. Agreement

These Terms of Service (the "Terms") are a legally binding agreement between you and Nordlate ("we", "us"), the company that operates Autonelio. If you use the services on behalf of a company or organization, you represent that you have authority to accept these Terms for that entity. If you do not agree, do not use the services.

2. Eligibility & Accounts

You must be at least 16 years old to use the services. When you create an account, you agree to provide accurate information and to keep your credentials secure. You are responsible for all activity under your account.

Each person or business entity is entitled to one account. You may not create multiple accounts to circumvent service limits, extend trial periods, or avoid enforcement actions. If we have previously terminated your account, you may not register again without our written permission.

3. Trials, Beta & Early Access

We may offer free trials or early access features. These are provided for evaluation, may change at any time, and may not be compatible with future releases. We may limit or end such access at any time.

Trials are for genuine evaluation by new users only. You may not (i) register multiple accounts to obtain additional trials; (ii) use false or temporary credentials; (iii) share trial access beyond your organization; or (iv) use trial access for production or commercial purposes. Abuse of trial offers may result in immediate termination and billing for usage.

4. Subscriptions & Billing

Paid subscriptions are billed in advance on a recurring basis (e.g., monthly) unless otherwise stated. Payments are processed by a third‑party payment processor; we do not store full card details. Prices are shown exclusive of taxes unless noted. You are responsible for applicable taxes (including VAT) where required.

We may change subscription features or pricing with reasonable notice. Changes take effect at the start of your next billing cycle unless stated otherwise.

4a. Payment Failures

If a payment fails, we will notify you and retry the charge. If payment remains unsuccessful after 7 days, we may suspend your access until the balance is paid. You remain responsible for all fees incurred during any suspension period.

5. Cancellation & Refunds

You can cancel at any time from within the application or by contacting us. Your subscription remains active until the end of the current billing period. Fees already paid are non‑refundable, except where a refund is required by law or explicitly stated for a trial.

If you downgrade to a lower plan, the change takes effect at the start of your next billing cycle. You may lose access to features or data allowances included in your previous plan. We recommend exporting any data that may be affected before downgrading.

6. Acceptable Use

You agree not to misuse the services. For example, you will not (i) violate laws; (ii) upload malicious code; (iii) attempt to gain unauthorized access; (iv) interfere with or disrupt the service; (v) infringe intellectual property or privacy rights; (vi) send spam or abusive content; (vii) scrape, crawl, or use automated means to extract data from the services except through officially provided export features; (viii) use any data obtained from the services to train artificial intelligence or machine learning models, or for competitive analysis; (ix) resell, redistribute, or sublicense any data or content obtained from the services; (x) create multiple accounts or circumvent usage limits, restrictions, or enforcement actions; (xi) reverse engineer, decompile, disassemble, or attempt to derive the source code of the services; (xii) resell, white-label, or offer the services to third parties as your own product; (xiii) publish benchmarks or performance comparisons without our prior written consent; (xiv) use the services to facilitate fraudulent activities, including but not limited to falsifying vehicle records, manipulating odometer readings, or generating fake reviews; or (xv) initiate chargebacks or payment disputes for valid charges, which may result in immediate account termination and collection of amounts owed.

6a. Fair Use & Resource Limits

The services are subject to reasonable usage limits. We may suspend or restrict accounts that exceed normal usage patterns (e.g., excessive API calls, storage, or bandwidth) until the issue is resolved or you upgrade to an appropriate plan. We will make reasonable efforts to notify you before taking action, except in cases of severe abuse that threaten service stability.

7. Your Data & Privacy

You retain ownership of the data you submit to the service ("Customer Data"). You grant us a limited, worldwide license to host, process, and display Customer Data as necessary to provide and improve the services and to comply with law. We handle personal data as described in our Privacy Policy.

We may use aggregated, anonymized data that does not identify you or your customers for analytics, service improvement, and industry benchmarking. This data cannot be traced back to any individual user or business.

8. Intellectual Property

The services, including software, documentation, and content we provide, are owned by us or our licensors and are protected by law. These Terms do not grant you any rights to our trademarks or other brand features.

9. Feedback

We welcome suggestions and ideas. If you submit feedback, you grant us a non‑exclusive, worldwide, royalty‑free license to use it without obligation to you.

10. Availability & Support

We aim to keep the service available and to improve it over time, but we do not guarantee uninterrupted or error‑free operation. Unless otherwise agreed in writing, no SLA is provided. Support is offered on a best‑effort basis.

We may perform scheduled maintenance that temporarily affects availability. Where possible, we will provide advance notice of planned maintenance. We are not liable for downtime caused by circumstances beyond our reasonable control, including internet outages, natural disasters, or third‑party service failures.

11. Warranty Disclaimer

To the maximum extent permitted by law, the services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

12. Limitation of Liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. Our total liability for any claim relating to the services will not exceed the amounts paid by you to us for the services during the three (3) months prior to the event giving rise to the claim.

13. Indemnity

You agree to indemnify and hold us harmless from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the services or violation of these Terms, to the extent permitted by law.

14. Termination & Suspension

You may stop using the services at any time. We may suspend or terminate your access if you materially breach these Terms, cause harm, or if we are required to do so by law. Upon termination, your right to use the services ends. Certain sections will survive termination (e.g., fees due, intellectual property, warranty disclaimer, limitations of liability, indemnity, and governing law).

After termination or cancellation, you will have 30 days to export your Customer Data using the tools provided in the application. After this period, we may delete your data in accordance with our data retention practices. We are not obligated to retain your data beyond this period unless required by law.

15. Dispute Resolution

If you have a dispute or concern, please contact us first at info@autonelio.com. We will try to resolve the matter informally within 30 days. Most issues can be resolved quickly through direct communication.

16. Governing Law & Venue

These Terms are governed by the laws of Finland, without regard to its conflict of laws rules. Disputes will be resolved in the competent courts of Finland, and you consent to the exclusive jurisdiction of those courts.

If you are a consumer in the European Economic Area (EEA), you may have mandatory rights under your local law which remain unaffected. Nothing in these Terms limits any consumer protection rights that apply to you under mandatory local law.

17. Changes to These Terms

We may update these Terms to reflect changes to the services or legal requirements. We will post the updated Terms here and update the effective date. For material changes, we will provide at least 30 days' notice via email or in‑app notification before the changes take effect.

Your continued use of the services after changes become effective means you accept the updated Terms. If you do not agree with the changes, you may cancel your subscription before they take effect.

18. Third-Party Services

The services may integrate with third-party services (e.g., payment processors, review platforms, messaging providers). Your use of such integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.

19. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. These Terms constitute the entire agreement between you and us regarding the services and supersede any prior agreements. Our failure to enforce any right or provision does not waive that right. We may assign or transfer these Terms without restriction; you may not assign your rights or obligations without our prior written consent.
